These Quote Terms & Conditions ("Quote Terms") apply to every quote issued by Ignition DigitalAI ("we", "us", "our"). By accepting a quote — whether digitally via the accept link, by written confirmation, or by payment of a deposit — you agree to be bound by these Quote Terms in addition to our general Terms of Service.

1. Quote Validity

Quotes are valid for 30 days from the date of issue unless a different validity period is stated on the quote document.
After the validity period expires, prices and availability are subject to change without notice.
We may extend a quote's validity upon your request at our discretion.

2. Quote Acceptance

A quote may be accepted by any of the following methods:

Digital acceptance — clicking the "Accept Quote" link in the quote email or document
Written confirmation — replying to the quote email with written acceptance
Payment of deposit — paying the deposit amount specified in the quote

By accepting a quote you confirm that you have read, understood, and agree to these Quote Terms, our Terms of Service, and our Privacy Policy.

Acceptance of the quote forms a binding agreement between you and Ignition DigitalAI for the services described in the quote at the stated price.

3. Scope of Work

The scope of work is defined in the quote document and includes the specified deliverables, features, and milestones.
Any items not explicitly listed in the quote are excluded from the scope. Additional requirements will be quoted separately.
Assumptions made during quoting will be stated on the quote. If assumptions prove incorrect, scope and pricing may be adjusted.

4. Pricing & GST

All prices are in Australian Dollars (AUD).
Prices exclude GST unless explicitly stated otherwise. GST at the prevailing rate (currently 10%) will be added to invoices.
Quoted prices are fixed for the accepted scope. Additional work beyond the scope will be quoted separately before being undertaken.
We will issue tax invoices through Xero containing all information required under Australian tax law.

5. Payment Terms

Project-based services

50% deposit upon quote acceptance — work begins only after the deposit is received
50% final payment upon project completion, payable before final assets, credentials, or access are delivered
For larger projects (over A$10,000), milestones and payment schedules may be defined in the quote

Recurring services (maintenance, AI monthly)

Billed monthly in advance
First payment due upon service activation
Services auto-renew monthly unless cancelled with 30 days' notice

Payment methods

Bank transfer / EFT (preferred) — details on invoice
Credit card (Visa, Mastercard, Amex) via payment link

Late payments

Invoices are due within 14 days of the invoice date (Net 14)
Overdue amounts may incur interest at 2% per month on the outstanding balance after 30 days
Services may be suspended if payment is more than 21 days overdue
You are responsible for any reasonable collection costs we incur in recovering overdue payments

6. Project Timeline

Estimated timelines are provided in good faith based on the information available at the time of quoting.
Actual timelines depend on factors including content readiness, feedback turnaround, and project complexity.
Delays caused by late provision of content, feedback, or approvals by you may extend the timeline and, in significant cases, may incur additional costs.
We will communicate any anticipated delays as soon as we become aware of them.
Force majeure events (natural disasters, internet outages, pandemic, government action) that are beyond the reasonable control of either party are excluded from timeline commitments.

7. Client Obligations

To ensure timely and successful delivery, you agree to:

Provide all required content (text, images, logos, brand assets) by agreed deadlines
Provide access to necessary accounts, domains, hosting, and third-party services
Respond to feedback requests and approve project stages within agreed timeframes (typically 5 business days unless otherwise stated)
Designate a single point of contact with authority to make decisions and provide approvals
Make payments on time in accordance with these payment terms

8. Changes to Scope

Changes to the quoted scope of work require written approval from both parties.
We will provide a written estimate for any additional work before proceeding.
Changes may affect both the project timeline and total cost.
Minor clarifications that do not materially change the scope are handled without a formal change order.

9. Intellectual Property

What you own (upon final payment)

Custom designs, graphics, and layouts created specifically for your project
Custom code written specifically for your project
Your content, brand assets, and project-specific configurations
AI knowledge base content and training materials you provided
All deliverables specified in the quote

What we retain

Reusable template code, component libraries, and design patterns
Our development tools, methodologies, and processes
Pre-existing intellectual property used across multiple projects
General knowledge and expertise gained

Licence

We grant you a perpetual, non-exclusive, worldwide licence to use all deliverables for your business purposes. You may modify and build upon deliverables, and engage other developers to maintain or extend the work.

Third-party components

Our work may include open-source libraries (e.g. Next.js, React, WordPress) subject to their respective licences (MIT, GPL, etc.). You are responsible for complying with these licences.

Portfolio rights

With your permission (requested after launch), we may showcase your project in our portfolio and marketing materials. You can decline or request removal at any time.

10. Warranties & Disclaimers

We warrant that services will be performed with reasonable care and skill in a professional manner.
We do not warrant specific business outcomes, results, or return on investment from our services.
For AI services: AI may produce inaccurate or "hallucinated" responses. We implement guardrails and testing, but cannot guarantee 100% accuracy. AI is not a substitute for professional advice.
Third-party platforms and services (hosting, CRM, analytics) are subject to their own terms and warranties. We are not responsible for their performance or availability.

These disclaimers are subject to the Australian Consumer Law provisions set out in our Terms of Service.

11. Cancellation & Refunds

Cancellation by you

Before work begins (deposit paid but work not commenced): Full refund of deposit minus any third-party costs already incurred on your behalf.
During the project: The deposit is non-refundable. You pay for all work completed to date (calculated as a percentage of the quoted total or at our standard hourly rate). We will provide deliverables for all work paid for.
After completion: Final payment remains due for completed work.

Cancellation by us

We may cancel a project if you fail to provide required materials or approvals for more than 30 days after repeated requests, or if payment obligations are not met. In such cases, we will provide written notice and a reasonable opportunity to remedy before cancelling.

Recurring services

Either party may cancel a recurring service with 30 days' written notice. Fees are due up to the termination date. No refunds are issued for partial months.

12. Limitation of Liability

Our total liability for any claim related to a quoted engagement is limited to the total amount paid by you under that quote in the 12 months preceding the claim.
We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
Nothing in these Quote Terms excludes or limits liability that cannot be excluded under Australian Consumer Law.

13. Confidentiality

Both parties agree to keep confidential any non-public information shared during the engagement, including business strategies, pricing, technical details, and client data. Confidentiality obligations survive the termination of the engagement.

Confidential information may be disclosed where required by law or with the prior written consent of the disclosing party.

14. Dispute Resolution

In the event of a dispute arising from a quote or engagement:

Good faith negotiation: Both parties will attempt to resolve the dispute through informal negotiation within 14 days.
Mediation: If negotiation fails, the dispute may be referred to mediation administered by an agreed mediator in New South Wales.
Jurisdiction: If mediation fails, disputes are subject to the exclusive jurisdiction of the courts of New South Wales, Australia.

15. Governing Terms

These Quote Terms are governed by the laws of New South Wales, Australia.

In the event of conflict between these Quote Terms and our general Terms of Service, these Quote Terms prevail to the extent of the inconsistency for matters relating to the quoted engagement.
